Primum Law Group:

Ongoing Legal Guidance for Businesses That Want to
Stay Ahead

How We Work

Subscription Legal Services That Actually Move Your Business Forward

Running a business means legal questions rarely arrive one at a time—or at a convenient time.
Our Legal Advisory Memberships give established Primum clients continued access to
experienced business counsel to identify issues early, make informed decisions, and know when
additional legal work is needed.

This is an ongoing relationship with an attorney who already understands your business and its
legal foundation and is available to provide to you the necessary legal support.

Memberships are available to qualifying Primum clients following an initial legal
engagement.

Stay Ahead of What’s Next

Many businesses call an attorney only after something has gone wrong: a contract is disputed, an
investor raises a concern, a compliance deadline is missed, or a decision has already been made.

Ongoing counsel helps you:

Identify legal risks before they become expensive
Decide what requires attention now and what can wait
Stay on top of governance and compliance obligations
Think through contracts, hiring, fundraising, expansion, and other business decisions
Determine when additional legal work is necessary

Most importantly, you are not starting from scratch every time a question comes up.

New to Primum? Start With the Foundation

If you are new to Primum, your relationship with us generally begins with a defined legal project
or assessment—not a monthly membership.

This allows us to understand your company, identify immediate risks, and address foundational
issues before determining whether an ongoing advisory relationship makes sense.

Depending on your business, that may involve corporate structure and governance, founder
equity, employment matters, contracts, intellectual property, privacy and compliance, or
fundraising readiness.

Choose the Right Level of Ongoing Guidance

All memberships are designed for qualifying Primum clients with an established legal foundation
and require a 6-month minimum commitment.

What Happens When You Need Legal Work Done?

Our memberships provide access, advice, issue identification, planning, and ongoing legal
guidance.

Unless expressly included in your plan, substantive legal work is separately scoped and billed.
This may include:

Drafting or revising agreements
Detailed document review and negotiations
Corporate, equity, and securities work
Employment documentation
Regulatory and compliance filings
Transactions and disputes

If additional work is needed, we will explain what we recommend and provide the proposed
scope and fee before the work begins.

You decide whether you want to proceed.

Need More Than Advisory Access?

If you need recurring drafting, document review, negotiations, corporate work, or legal support
integrated into your day-to-day operations, Outsourced General Counsel relationship may be a
better fit.

These arrangements are developed around the actual volume, complexity, and type of legal work
your business requires.

Why an Ongoing Relationship Matters

The value of ongoing counsel is not measured by how many times you can call a lawyer.
It is having someone who knows your business well enough to help you see what is coming.

Guidance built around your business.
Advice grounded in your circumstances—not a generic answer or template.

Judgment when the answer isn’t obvious.
Knowing what matters, what can wait, what is worth negotiating, and where the real risk lies.

Continuity as your company evolves.
Customers push back. Investors negotiate. Teams grow. New questions arise. Your lawyer
already knows the context.

A relationship that helps identify the question you didn’t know to ask.
The better we understand your business, the better positioned we are to identify issues before
they become urgent.

Not Sure Where You Fit?

You do not need to choose a plan before speaking with us.

We will help determine whether the right fit is:

A defined legal project or assessment
An advisory membership
An ongoing legal support plan
Outsourced General Counsel

The goal is not to put you into the highest-priced plan. It is to establish the legal relationship that
actually fits your business.

Operate With Greater Clarity

Whether you need to establish your legal foundation or continue an existing relationship with
Primum, we can help you determine the right place to start.

Tell us where your business is today.

Do what actually benefits you long-term—not what’s easiest in the moment.
